28 May 2024: Omda AS (the «Company») is to launch the buyback of its own shares in accordance with the authorisation granted to the board of directors by the Company’s general meeting held on 25 April 2024.
The share buyback programme will be for a maximum consideration of NOK 29 981 132. The repurchases will be conducted in the period from 28 May 2024 until 25 April 2026. Buyback transactions will be executed according to the market price on the Oslo Stock Exchange, and the maximum price to be paid per share under the programme is NOK 50.
Shares acquired as part of the buyback programme are intended to be used as consideration in future acquisitions by the company. Any shares purchased will be held in treasury until used for the above purposes.
The number of shares acquired per day shall not exceed the number of shares representing 25% of the average daily volume in the 20 trading days preceding the date of the purchase. This limit is in accordance with the Market Abuse Regulation (MAR) requirements as described in Article 3 of the EU Commission delegated regulation 2016/1052, and as implemented in Norway under the Securities Trading Act.
The programme will be managed by Carnegie AS, which will make its trading decisions in relation to the acquisition of shares independently of, and uninfluenced by, the Company.
